Thank you (“you”, “your”, “User”) for viewing this Privacy Policy (“Agreement”, Privacy “Policy”, or “Policy”).

GUILDSPRO LIMITED (“Company”, “we”, “us”, “our”, “GUILDSPRO”) is a start-up from Calgary, Alberta that provides software, products, and other services in the construction and contractor sectors, including providing the Website/Platform (as defined below, and together, the “Services”).

We operate and provide the products, services, information, content, data, and Intellectual Property (as defined herein) at our website at www.guildspro.ca and the GUILDSPRO mobile and desktop application (together, the “Website/Platform”).

This Privacy Policy interacts with our Terms of Service and by using the Services or the Website/Platform User agrees to and is bound by our Terms of Service.

CONSENT TO PRIVACY POLICY

By accessing or using the Website/Platform or in any other interactions with GUILDSPRO, the Services, or GUILDSPRO’s Intellectual Property (as defined herein), including on third-party sites, apps, or channels, you indicate that you clearly and irrevocably understand, accept, and consent to the practices described in this Privacy Policy.

For greater clarity, User acknowledges and agrees that any of the following actions shall clearly evidence, constitute, and denote User’s express consent to this Privacy Policy, and any applicable agreement listed above, including when User checks a checkbox next to a form or interactive function, User registers for the Website/Platform, User enters into a written agreement with GUILDSPRO, User fills and submits a form on the Website/Platform, User otherwise interacts with any interactive functionality on the Website/Platform, User submits any Personal Information or other personal data to the Website/Platform or to GUILDSPRO, and/or User provides User Content to the Website/Platform or GUILDSPRO.

This Privacy Policy may change from time to time. Your continued use of the Website/Platform or in any other interaction with GUILDSPRO, the Services, or GUILDSPRO’s Intellectual Property (as defined herein), including on third-party sites, apps, or channels, including after we make changes, indicates that you accept and consent to those changes. Please check this Privacy Policy periodically for updates.

CONSENT TO MAIL LIST & CASL COMPLIANCE

Without limiting anything in this Privacy Policy, by using the Services or the Website/Platform, User expressly agrees and provides consent to GUILDSPRO to send, distribute, or otherwise transmit to you any Commercial Electronic Message (CEM) or other communications or notifications, including for commercial and other promotional purpose; and you agree to be added to our mail list until and when you provide us written notice that you wish to unsubscribe in accordance with the notice provision at the end of this Privacy Policy; and you agree that you otherwise provide us implied consent by virtue of the relationship between you and us and/or your posting or making available your information online unaccompanied by a statement that you do not wish to receive CEMs.

JURISDICTION OF WEBSITE/PLATFORM

GUILDSPRO is in Alberta, Canada and the Website/Platform is offered only for use in Alberta, Canada. The Website/Platform is not intended for use in any jurisdiction where its use is not permitted. GUILDSPRO does not currently have sufficient capabilities to determine where a User is located, including to block a User based on its jurisdiction, prevent User's access to the Website/Platform or certain features or functionality of the Website/Platform, or prevent User from completing a transaction on the Platform.

If you access the Website/Platform from outside Alberta, Canada, you do so at your own risk and you are responsible for compliance with local laws of your jurisdiction. You must immediately stop using the Website/Platform if your use of it as it is offered by GUILDSPRO is prohibited under your local laws or regulations and in no way shall GUILDSPRO be responsible or liable for your unauthorized or unlawful use of the Website/Platform or the Services.

USERS UNDER THE AGE OF 18

Use of and access to the Website/Platform is not intended for individuals under 18 years of age. No one under age 18 may provide any information to or on the Website/Platform. We do not knowingly collect personal information from individuals under the age of 18. If you are under 18, do not use or provide any information on this Website/Platform or on or through any of its features/register on the Website/Platform, make any purchases through the Website/Platform, use any of the interactive or public comment features of this Website/Platform, or provide any information about yourself to us, including your name, address, telephone number, email address, or any screen name or username you may use. If we learn we have collected or received personal information from a individuals under the age of 18 without verification of parental consent, we will delete that information. If you believe we might have any information from or about a individuals under 18, please contact us in accordance with the notice provisions at the end of this Privacy Policy.

INTELLECTUAL PROPERTY RIGHTS AND OWNERSHIP

You understand and agree that all intellectual property belonging to GUILDSPRO, including the Website/Platform and its entire contents, features, and functionality, including, all information, files, content, software, code, metadata, data text, displays, graphics, photographs, images, video, audio, music, broadcast, design, design elements, presentation, website or platform layout, selection, and arrangement, or any related derivatives or spinoffs, are the sole property of GUILDSPRO, its licensors, or other providers of such material and are protected in all forms by intellectual property laws, including without limitation, copyright, trademark, patent, trade secret, and any other proprietary rights.

INFORMATION WE COLLECT ABOUT YOU

Personal information, that we can reasonably use to directly or indirectly identify you, such as your name, mailing address, e-mail address, telephone number, Internet protocol (IP) address, username or other similar identifier, billing and account information, and any other identifier we may use to contact you (“personal information”).

Statistical or aggregated data does not directly identify a specific person, but we may derive non-personal statistical or aggregated data from personal information.

Business and Usage Information, including as pertaining to User’s posting of User Content (as defined in our Terms of Service), User’s interactions with content and others users on the Website/Platform, User’s interactions with Interactive Functions (as defined in our Terms of Service), User’s back-end information and settings as set by User, the products and services User offers to other users or the public on the Website/Platform, User’s transactions on the Website/Platform or with other users or with us, and including User’s business, financial, marketing, contractual, and legal information, where relevant and as provided to GUILDSPRO or as contained in User Content (as defined in our Terms of Service).

Subject to GUILDSPRO’S Terms of Service you may also provide information to be published or displayed on public areas of the Website/Platform or transmitted to other users of the Website/Platform or third parties (hereinafter, “submitted”, as defined in our Terms of Service). Your User Content is posted on and transmitted to others at your own risk. Although we limit access to certain pages, please be aware that no security measures are perfect. Additionally, we cannot control the actions of other users of the Website/Platform with whom you may choose to share your User Content. Therefore, we cannot and do not guarantee that unauthorized persons will not view your User Content.

Information We Collect Through Cookies and Other Automatic Data Collection Technologies

As you navigate through and interact with our Website/Platform, we may use cookies or other automatic data collection technologies to collect certain information about your equipment, browsing actions, and patterns, including:

STORAGE AND TRANSFER OF YOUR PERSONAL INFORMATION

Where possible and practicable, we use best efforts to process and store your personal information and other data in Canada. We may use Amazon Web Services (AWS), Microsoft Azure, Cloudways, or another third-party provider, to host our servers and data, which may require your data to be located outside of Canada. In those instances, different privacy laws may apply that may or may not be as comprehensive as Canadian law. In these circumstances, the governments, courts, law enforcement, or regulatory agencies of that country may be able to obtain access to your personal information through the laws of the foreign country. Whenever we engage a service provider, we require that its privacy and security standards adhere to this Privacy Policy and applicable Canadian privacy legislation.

We may transfer personal information that we collect or that you provide as described in this policy to third-party contractors, service providers, and/or other third parties we use to support our business (such as analytics and search engine providers that assist us with Website/Platform improvement and optimization) and who are contractually obligated to keep personal information confidential, use it only for the purposes for which we disclose it to them, and to process the personal information with the same standards set out in this policy.

CHOICES ABOUT HOW WE USE AND DISCLOSE YOUR INFORMATION

If you delete your User Content from the Website/Platform, copies of your User Content may remain viewable in cached and archived pages or might have been copied or stored by other Website/Platform users. Clicking on those links or enabling those connections may allow the third party to collect or share data about you. If you follow a link to a third-party website or engage a third-party plugin, please note that these third parties have their own privacy policies and we do not accept any responsibility or liability for these policies. We do not control these third-party applications or providers, and we encourage you to read the Privacy Policy of every website you visit.

All notices and communications to GUILDSPRO shall be delivered in writing via email to info@guildspro.ca, Attention: Privacy Officer. All notices and communications to User shall be delivered to User in writing via email to the email address they used to contact GUILDSPRO and/or the email address we have on file for User.

We welcome your questions, comments, complaints, and requests regarding this Privacy Policy and our privacy and digital practices. We have procedures in place to receive and respond to complaints or inquiries about our handling of personal information, use and collection of data, our compliance with this Privacy Policy, and with applicable privacy laws.

If submitting a notice, complaint or request to withdraw consent or remove your account, content, data, or information from the Website/Platform, please particularize and substantiate all information and evidence GUILDSPRO needs to comply with such notice, complaint or request, including to comply with all relevant rules, regulations, and this Privacy Policy, within TEN (10) days of the circumstances of such notice, complaint, or request was made known to User.
